A Process Agent is an entity or individual appointed by another entity or individual to accept service of legal process and relevant Court documents on its behalf, usually in jurisdictions where it is not incorporated and in order to ensure valid service of legal process in accordance with applicable local Court or arbitration procedures and rules. Typically, therefore, the role of the Process Agent applies to situations where there is a dispute between the appointer and one or several third parties.
A Process Agent in the relevant jurisdiction is often required by a party with whom an appointer is transacting where such appointer is not incorporated in that jurisdiction and where the parties to the transaction have submitted to have disputes heard by the Courts in that jurisdiction. The appointment is often a substantive condition to proceeding with the relevant transaction and is intended to remove the possibility of delays and confusion where service of legal process (when required) is unable to be effected validly in the relevant jurisdiction according to applicable local Court or arbitration procedures and rules. Service at the address of the Process Agent constitutes valid service on the appointer for such purposes.
As regards the appointment of Process Agent in the United Kingdom for the purposes of ensuring valid service of process according to the applicable rules and regulations of the Courts of England & Wales, any entity or person in principle may be appointed. In practice, however, professional service companies or individuals with the relevant expertise are preferred in order to ensure the ability to rely on their availability to receive, accept and acknowledge service of process on behalf of its appointer and then to deal appropriately with the relevant Court documents and communicate with its client in order (among other things) to ensure a common level of understanding of the status of the relevant Court proceedings.
A process agent can be appointed with immediate effect, subject to provision of the relevant information requested of the appointing party, signature of the relevant process agent appointment documents and payment of the relevant process agent fee.
The Process Agent will have received service of process and the associated Court documents on your behalf. Typically, there will be a requirement to acknowledge receipt and to comply with the relevant timelines to respond with, for example, a defence to the Court and/or a counterclaim. The Process Agent will inform you of this and give you the opportunity to decide the next steps, including taking appropriate qualified legal advice, and thereafter deal with the matter going forward.
Prior to signature of the relevant Process Agent appointment documents and receipt of the information about the appointer requested, we will provide an invoice for payment of the relevant fee. Once all documents have been executed and payment is received by us, the appointment will become immediately effective. No representation to any third party about the effectiveness of the appointment will be legitimate unless and until such payment is received. This also applies to any future process agent services which may be required, for example, if the scope of a particular appointment increases and additional fees are payable.
