ESTABLISHING A PROCESS AGENT APPOINTMENT

Once you have confirmed that you wish to appoint CCPA as Process Agent, we will send you a standard appointment letter for counter-signature. process letter for you to complete.

On counter-signature of the standard appointment letter, receipt by us of the relevant process agent fee and also any relevant Know-Your Customer information we have requested, the process agent appointment is effective and communicable to other parties immediately.

To establish the facility of a process agent, we will require you to counter-sign our appointment letter, pay the relevant process agent fee and provide any information to our satisfactions we have requested in relation to the appointor and the underlying relevant transaction.

The invoice which will be supplied with the standard appointment letter for counter-signature sets out our account information and details of how to pay CCPA the relevant process agent fee.

Once we receive the appointment process letter counter-signed by you and the relevant process agent fee has been received by us, we will have established the appointment as your UK process agent in relation to the relevant transaction and transaction documents.

As soon as any service of process has been effected on CCPA, , we will inform you of its receipt by scanning the relevant documentation and forwarding it by email. Upon notification from you as to your preferred response to the service of process which has been effected on us on your behalf, we will ensure all documentation is forwarded to you or any adviser you nominate for such purpose.. Large bundles of documents which accompany the service of process on us may be sent to your or any such nominee via a courier at an additional fee for prompt delivery.

*N.B. Subject to the terms and conditions set out in CCPA’s letter of appointment from time to time.

We would only charge additional fees if you requested additional services, such as an amendment to an existing facility or an extension to one which is expiring.

Once the contract term has been reached, the facility will end. If you require the facility to be extended, please let us know and we can arrange for it to be extended for you.

To cancel the contract, please send us an email quoting the contract number and instructing us to cancel and we will take care of the rest.

How can a process agent be appointed?

In most cases, the appointment of a process agent by a party not incorporated in the United Kingdom is a condition precedent to proceeding with the relevant transaction and therefore critical for the appointing party.

The following steps are required to appoint CCPA as a process agent in the UK for a party outside of the jurisdiction:

Confirm to CCPA the key information of the transaction, including the full name and jurisdiction of parties, closing date, name of contacts and details of who should receive any service of process documentation from CCPA at the appointor.Read More

If available, provide to CCPA the latest versions of the relevant transaction documents to which the process agent appointment relates together with any Know-Your-Customer information required by CCPA.Read More

Coordinate communications with CCPA as the Process Agent in order to prepare CCPA’s standard engagement letter for signature and counter-signature by the appointor.Read More

Complete signature of the engagement letter and pay the relevant process agent fee in order for the appointment as UK Process Agent to become immediately effective and communicable to other transaction parties. Read More
